The Windy City Knitting Guild

ARTICLE I: NAME
The name of this organization shall be WINDY CITY KNITTING GUILD.
ARTICLE II: PURPOSE
Windy City Knitting Guild is an educational and social club. The purpose of this organization shall be to promote interest and skill in knitting, while encouraging high standards of quality workmanship.
ARTICLE III: MEMBERSHIP
Membership shall be open to any person interested in the purpose of this organization upon payment of dues.
ARTICLE IV: OFFICERS
Section 1: The officers of this organization shall be: President, Treasurer, Program Coordinator, Membership Chairman, Newsletter Editor(s), Webmaster, and four (4) Members-at-Large.
Section 2: The terms of all officers shall be for one year.
Section 3: Duties:
a. President: Shall preside at all meetings of the organization and of the Executive Committee, shall appoint the chairmen of all standing and special committees with approval of the Executive Committee, and shall perform all other duties usually pertaining to the office.
b. Treasurer: Shall receive, hold and account for all monies, shall keep a proper account thereof and prepare a statement of account, and shall submit a monthly report to the membership at the monthly meeting and in the newsletter.
c. Program Coordinator: shall coordinate the programs that take place during the monthly meetings of the organization. At the October meeting, shall survey the members present to find topics of interest and volunteers who would like to present programs.
d. Membership Chairman: Shall answer inquiries about the organization received by phone, letter, email, or web site. Shall welcome new members and visitors at monthly meetings. Shall carry out all necessary correspondence to foster and encourage membership enrollment.
e. Newsletter Editor(s): Shall seek and compile entries from members for the monthly newsletter on knitting, knitting news and events, and shall produce a monthly newsletter.
f. Webmaster: Shall develop and maintain the Windy City
Knitting Guild web site,

g. Members-at-Large: Shall assist with events and special projects as needed.
Assist with strategic planning and implementation of ongoing guild projects.
Elicit ideas from guild members about possible future events and programs.
ARTICLE V: ELECTIONS
Section 1: Any person may hold office after having been a paid member for sixty days.
Section 2: The Executive Committee shall present a slate of officers at the October meeting. Nominations may be made from the floor, providing consent of any qualified candidate has been obtained.
Section 3: Election of officers shall take place at the Annual Meeting, in November, by a show of hands. The candidate with the majority of the votes will hold the office.
Section 4: Newly elected officers shall take office as of the January meeting.
Section 5: A vacancy in office shall be filled by the Executive Committee, in consultation with the President and the approval of the general membership present at the next monthly guild meeting. The officer so elected shall serve only until the next general election.
ARTICLE VI: COMMITTEES
Section 1: The Executive Committee shall consist of the elected officers and the chairmen of the Standing Committees.
Section 2: Standing Committees shall be created by the President, with the approval of the Executive Committee, as may be required to promote the objectives and interests of the Windy City Knitting Guild. Committee chairmen may appoint committee members.
Section 3: Special Committees may be created by the President subject to the approval of the Executive Committee. The Special Committees shall cease to exist when their work is completed.
ARTICLE VII: MEETINGS
Section 1: Meetings will be held on the third Tuesday of each month. Time and place will be determined as circumstances dictate.
Section 2: The Annual Meeting shall be held at the time of the regular meeting in November. It shall include the election of officers and planning of programs for the upcoming year. It shall also include any annual reports as necessary to be given to the newly elected President.
Section 3: All Guild business shall be conducted/approved by a majority of the membership present at that meeting.
ARTICLE VIII: DUES
Section 1: The amount of dues shall be determined by the Executive Committee according to need and shall be approved by a majority of the membership.
Section 2: Paid members shall receive the monthly newsletter and shall have access to the Members Only section of the web site, http://www.windycityknittingguild.com Paid members shall be given advance notice of workshops presented by Windy City Knitting Guild, and shall be given a discount on workshop fees. Paid members shall be entitled to vote in business matters at monthly meetings and in elections at the Annual Meeting.
Section 3: Dues shall be received by the Treasurer within 2 months of the member’s Guild membership expiration date. Membership needs to be renewed annually, and expires December 31 of the current year. To receive the monthly newsletter and have access to the “Members Only” section of the web site, dues must be received by March 1.
Section 4: Prospective members may attend two meetings as a guest before being required to pay dues.
ARTICLE IX: PARLIAMENTARY AUTHORITY
The rules contained in the current edition of Robert’s Rules of Order shall govern the organization in all cases to which they are applicable and in which they are not inconsistent with the bylaws of this organization.
ARTICLE X: METHOD OF AMENDING THE BYLAWS
The bylaws may be amended at any regular meeting by a vote of the majority of the members present at that meeting, provided the proposed amendment was submitted in writing to all the members present at the previous regular meeting.
ARTICLE XI: PROCEDURES FOR DISSOLUTION
In the event of dissolution of this organization, assets will be distributed only to a charitable organization exempt under Section 501-c (3), or a fiber-related educational or social club exempt under Section 501-c (7) of the Internal Revenue Code, or as amended thereafter. The Executive Committee will determine to which organization the funds will be disbursed.
ARTICLE XII: EFFECTIVE DATE
These bylaws shall become effective immediately upon approval by the organization insofar as it is practicable, but in any event, not later that the first day of October, 2002.
